Terms and Conditions

These Terms and Conditions ("Agreement") govern the relationship between Cloudvox Tech LLC, a USA-registered company with its registered office at 212 N 2nd St STE 100 Richmond, KY, 40475 USA ("Cloudvox Tech LLC"), and the Customer (defined below). This Agreement, alongside any applicable Order Forms, Purchases, Exhibits, or Schedules, forms a legally binding contract between Cloudvox Tech LLC and the Customer. It outlines the terms under which the Customer may access and use Cloudvox Tech LLC’s Site and Services.

By subscribing to or using the Services, and by clicking "I have read and agree to the Terms and Conditions," the Customer:

  • (i) Confirms they have read, understood, and agree to comply with this Agreement;
  • (ii) Warrants that:
    • (a) Their representative is at least eighteen (18) years of age or the legal age of majority to enter into this binding contract;
    • (b) They have the right, authority, and power to enter into this Agreement on behalf of the company, corporation, or other legal entity they represent, and bind it to these Terms and Conditions.

PLEASE REVIEW THIS AGREEMENT CAREFULLY. IF YOU DO NOT AGREE TO THESE TERMS, YOU ARE NOT PERMITTED TO USE THE SERVICES.

1. Definitions

  • "Abandoned Call" – Any call attempt received by Cloudvox Tech LLC that is canceled by the caller before completion.
  • "Affiliate" – Any entity that controls, is controlled by, or is under common control with the subject entity, where control refers to more than 50% ownership or voting rights.
  • "Billing Tab" – The section in the Customer’s Account that provides billing information, plan details, and usage summaries.
  • "Call to an Unallocated Number" – Any call attempt that is received by Cloudvox Tech LLC but directed to an unassigned number.
  • "Carrier Requirements" – Any obligations or requirements imposed by local telecommunication carriers (e.g., T-Mobile Code of Conduct, AT&T Code of Conduct).
  • "Customer’s Account" – The account created by Cloudvox Tech LLC for the Customer to access Services.
  • "Customer’s Account Information" – Includes business contact details, usage records, configuration data, and call data associated with the Account.
  • "Administrator" – The individual(s) from the Customer’s organization, aged 18 or older, who manage and control the Customer’s Account.
  • "Cloudvox Tech LLC Number" – A phone number assigned to the Customer by Cloudvox Tech LLC.
  • "Cloudvox Tech LLC Dashboard" – The online portal used by Administrators to manage settings, select plans, and monitor account usage.
  • "Confidential Information" – Any proprietary or confidential information disclosed by one party (the "Disclosing Party") to the other (the "Receiving Party") during the term of this Agreement.
  • "Customer" – The individual or entity agreeing to this Agreement, whether as an individual or on behalf of a company or legal entity, including any affiliated entities.
  • "Customer Data" – Data from the Customer’s communications, including calls, messages, voicemails, shared files, and call metadata.
  • "Effective Date" – The date on which the Customer first subscribes to any of the Services or executes an Order Form.
  • "Fees" – All applicable charges related to the Services, including fixed fees, usage fees, and any other associated costs. Fees may be listed in USD or Euros.
  • "Intellectual Property" – All forms of intellectual property, including published and unpublished works, inventions, trademarks, trade secrets, and computer software.
  • "Law" – Any applicable laws, regulations, statutes, or administrative rules governing the Services and the Customer’s use of them.
  • "Order Form" – A document outlining fees, plan details, and other terms associated with the Agreement between the Customer and Cloudvox Tech LLC.
  • "Order Form Term" – The duration specified in the Order Form.
  • "Plan" – Any subscription plan offered by Cloudvox Tech LLC, including features and terms listed on the Site, such as Cloudvox Tech LLC Numbers or Free Trials.
  • "Plan Term" – The collective duration of the initial and renewal terms of a Plan.
  • "Purchase" – An order placed by the Customer for Cloudvox Tech LLC Services, such as Plans and Numbers, through the Site or Dashboard.
  • "Regulatory A2P Messaging Frameworks" – Rules governing A2P messaging in the markets where Services are provided, such as those set by CTIA or Mobile Network Operators.
  • "Representatives" – Affiliates, employees, officers, directors, or agents of either party.
  • "Services" – Any services provided by Cloudvox Tech LLC as specified in the Order Form or Purchase.
  • "Short Duration Call" – Any outbound call lasting 15 seconds or less.
  • "Site" – Cloudvox Tech LLC’s websites, www.Cloudcelo.io or www.Cloudcelo.com.
  • "User" – Anyone using the Services via the Customer’s Account without administrative or management rights.

2. Cloudvox Tech LLC Services Overview

Cloudvox Tech LLC provides online-based phone solutions that include call handling and integration with various third-party applications (the "Integrations"). A detailed description of the services is available on Cloudvox Tech LLC’s website. Please note that Cloudvox Tech LLC is not a “dial-tone” provider and does not serve as a replacement for phone lines, including wired, wireless, or internet-based services. Certain phone numbers and services may be inaccessible via Cloudvox Tech LLC’s services.
